Structure of Stage 1
Stage 1 will operate as a tiered Dutch Auction with no fixed price. The final price is determined by the total amount of funds raised, divided by the tokens allocated in each tranche, and then adjusted by the predefined price differentials for each tranche.

A total of 10% of the total $TRUE supply is allocated to Stage 1, split into four tranches:

Tranche 1 first 0.5% (0 – 5B tokens) → Price differential of 8.0× compared to the final token sale stage
Tranche 2 next 2.0% (5B – 25B tokens) → Price differential of 7.0× compared to the final token sale stage
Tranche 3 next 2.0% (25B – 45B tokens) → Price differential of 6.0× compared to the final token sale stage
Tranche 4 next 5.5% (45B – 100B tokens) → Price differential of 5.0× compared to the final token sale stage
Funds are processed strictly in order of arrival — the first contributions fill the tranche with the largest price differential (8.0×), and once it is fully allocated, the next tranche (7.0×) begins, and so on until all four are filled or the round ends. Because each tranche has a different price differential, the final Opening Fully Diluted Valuation (FDV) is calculated based on the actual funds raised in each tranche and their respective multipliers.

The simplified formula for estimating the Opening FDV (assuming even distribution) is:

Opening FDV = Total Stage 1 Raised Funds ÷ (0.01 × T) × 8 × T ÷ 10

Where:

T = 1 trillion $TRUE tokens (total supply)
0.01 × T = token count in first tranche (1.0% of total supply)
The division by 10 for the average across four tranches with different price differentials.
Important Note: The team reserves the right to issue partial pro-rata refunds to reduce the Opening FDV before TGE if the Stage 1 result produces a higher-than-desired initial valuation. The team also reserves the right to adjust the Stage 1 allocation from the planned 10% to a lower or higher percentage of total supply, depending on the total amount raised, in order to ensure that the Opening FDV remains within a reasonable range. Likewise, the duration of Stage 1 may be shortened and ended early at the team’s discretion if deemed necessary. Any such changes will be communicated in advance via an official notice on the website and/or socials.
