Kraken parent Payward has agreed to acquire Saldo’s Finnish holding company, seeking an EU banking platform for deposits, lending and payments. Completion is expected in 2027, subject to regulatory approval, making the agreement a planned expansion of its financial services rather than an immediate product rollout.

A holding-company acquisition with a banking subsidiary

Payward has signed a definitive agreement to purchase Saldo Finance Oy, the Finnish company that owns Lithuania-licensed Saldo Bank UAB, according to Bitcoin Magazine. The transaction would bring a regulated bank into the group behind Kraken, extending its business beyond digital-asset trading.

The purchase price has not been disclosed. Bitcoin Magazine reported that completion is expected in 2027 and depends on regulatory approvals, while CoinDesk said Payward did not immediately respond to its request for further information about the acquisition amount.

The distinction between signing and completion matters for customers and potential partners. The agreement establishes Payward’s intended route into these banking services, but the reporting describes the expanded offering as something the acquisition would enable, not as a service already available through Kraken.

Operating markets and passporting describe different reach

According to Cointelegraph, Saldo operates in Lithuania, Finland, Sweden and Germany, with its authorization also passported into the Netherlands. Bitcoin Magazine describes the resulting footprint as spanning five European markets, while distinguishing the existing operating countries from the Dutch passport.

Those descriptions are compatible rather than competing measures of an identical business footprint. Passporting generally allows a financial institution authorized in an EU jurisdiction to conduct permitted activities elsewhere in the bloc. Authorization to enter a market does not, by itself, describe the scale of an established customer business there.

Bitcoin Magazine provides a more detailed picture of Saldo’s existing products. According to Bitcoin Magazine, Saldo’s credit card is available in Finland, while its consumer loans serve Sweden, Lithuania and Finland; retail term deposits are offered in each of its four operating markets. That product distribution is more specific than a broad statement of European coverage.

Asset figures require dates and attribution

The Defiant reported that Saldo had €196.9 million in assets at the end of June. Its brief account also places expected completion in 2027, conditional on regulatory approval, but does not elaborate on the bank’s balance sheet or the transaction structure.

CoinDesk offers a different reference point, citing The Banks for assets of 163.9 million euros, presented as $180 million, at the end of 2025. It reports that this represented growth of 22.7% from the preceding year. CoinDesk’s summary separately gives a $190 million asset figure, without reconciling it with the dated amount in its main report.

The June and year-end figures refer to different reporting periods, while CoinDesk’s dollar figures are not consistent within its account. These amounts should therefore retain their dates and attribution rather than be treated as interchangeable. None represents the undisclosed acquisition price, and bank assets are not a measure of what Payward has agreed to pay.

The planned offering extends beyond exchange accounts

Bitcoin Magazine reported that Payward expects the completed acquisition to support deposit interest, consumer and SME lending, and credit cards. It also identifies planned services for partners, including card issuance, access to SEPA payments and embedded lending.

These functions would broaden the relationship Payward can seek with customers. An exchange account supports trading, while banking products can also support saving, borrowing and routine payments. Banking-as-a-service extends that model to partners that want financial functionality within their own products.

The proposed bank purchase does not start from an otherwise empty financial-services operation. Bitcoin Magazine and CoinDesk report Payward’s statement that its banking business has originated more than $2 billion in loans and holds an Irish electronic-money license alongside a limited-purpose Federal Reserve master account. Those existing arrangements are distinct from the EU banking license targeted through Saldo.

The reports emphasize different parts of the expansion

CoinDesk places the agreement against earlier licensing efforts, reporting that Kraken had sought a Lithuanian banking license and that Payward has applied for a US national trust bank charter. It also attributes to the Financial Times the claim that the acquisition would make Payward the first crypto company to buy a European bank.

Bitcoin Magazine contributes the clearest account of the holding-company structure and the intended partner services. Cointelegraph adds an example of an existing consumer product: Payward’s US multi-asset debit card, launched through Krak in August, which lets customers spend fiat and crypto.

Together, these accounts distinguish a corporate acquisition, a regulatory expansion and a broader product strategy. The Defiant’s shorter report contributes the June asset figure and expected closing timetable. Its limited account does not support additional conclusions about integration plans, customer migration or the economics of the purchase.

Approval and product implementation remain the milestones

The next formal milestone is regulatory approval ahead of the expected 2027 closing. Beyond completion, the practical issue is how Payward translates Saldo’s existing permissions and products into its intended banking offering. The reports describe ambitions, but do not establish a detailed rollout schedule for each service and market.

For crypto project teams considering payment or lending integrations, the relevant distinction is between announced capabilities and available partner products. Documentation identifying the contracting entity, supported markets and service terms would make those plans assessable. This is especially important where payment access, card issuance and lending involve different operational responsibilities.

For Kraken customers, the central development is the potential addition of a regulated banking relationship alongside trading services. Whether those functions become closely integrated, and which customers receive access, remains an implementation question. The deal’s significance rests on that service expansion rather than any reported connection to token prices.
