Megacap Issuers Close Ranks Against OKX-ICE Tokenized Stock Venue

Tesla, SpaceX, Amazon, Netflix, Lam Research and SoFi have objected to third-party tokenized versions of their shares on OKXICE, lifting the total to 56 companies. The opt-outs show how much leverage issuers hold under the SEC's new exemption, even as offshore platforms already trade tokens tied to the same stocks.

Six more issuers say no to OKXICE

Tesla and SpaceX have joined a growing list of companies that refuse to let outside parties offer tokenized versions of their shares on OKXICE, the planned US trading venue built by OKX and Intercontinental Exchange. Decrypt reported that an updated notice dated Monday added six names: Amazon, Tesla, SpaceX, Netflix, Lam Research and SoFi Technologies. The additions bring the total number of objecting companies to 56.

Cointelegraph, citing the venue's Nov. 2 public notice, focused on SpaceX. The company objected even though tokenized versions of its shares already trade on platforms outside the US. CoinDesk reported the same total of 56 and said close to 80% of the stocks the venture first chose have opted out. Its headline also says a deadline is looming, although the summary does not say when.

How the SEC exemption hands issuers a veto

The objections are possible because of the rules the venue operates under. The SEC introduced a five-year Innovation Exemption in September, and Decrypt noted that the agency unveiled it after the Clarity Act stalled in the Senate. Under the exemption, venues such as OKXICE may list tokenized US stocks for trading without first seeking status as a national securities exchange.

In exchange, the framework gives companies a say. A venue must notify a company before it offers a version of the company's shares that an unaffiliated third party has tokenized. The company then has 30 days to object in writing. If it does, the venue cannot make that stock available, according to Decrypt's reading of the SEC order, and the objection applies only to that venue.

Tokenized stocks are digital tokens recorded on a blockchain that stand in for company shares and let investors gain exposure to equities onchain, often at any hour. Cointelegraph noted that some are backed by real shares, yet the entitlements of tokenholders can differ from those of conventional shareholders. That distinction is part of why issuers care who creates the tokens.

The objection count, step by step

The list has grown quickly since the first objectors appeared, and Decrypt's account allows the timeline to be laid out in full. Reported figures from the outlets include the following.

  • Nine companies had objected by Oct. 15, when the first objectors appeared, according to Decrypt.
  • The count reached 38 on Oct. 28, after Walmart joined.
  • A notice on Oct. 30 listed 50 companies, with Nvidia, Costco and Nike leading the biggest batch yet.
  • Monday's updated notice brought the total to 56.
  • Backpack Securities' SPCX token recorded $1.08 billion in onchain trading volume in June, and Kraken's SPCXx token recorded $852 million, per Cointelegraph.
  • The Defiant reported that published opt-outs touch 50 of the 63 symbols the venture first proposed, so 13 have no disclosed objection.

Where the outlets' accounts line up and where they differ

Cointelegraph and Decrypt agree on the headline figure of 56 companies and on the central role of Tesla, SpaceX and Amazon. Decrypt adds the most detail. It names all six newcomers, lays out the earlier tallies and explains the 30-day mechanism. Cointelegraph adds the SpaceX trading context and the views of OKXICE co-chair Andrew Cuomo and of Nasdaq.

The Defiant and CoinDesk are represented here only by their headlines and short summaries, so their fuller reporting is not covered. Even so, the two summaries use different yardsticks. The Defiant counts symbols, saying 50 of 63 originally proposed ones carry a disclosed opt-out. CoinDesk and the other two outlets count companies, arriving at 56. None of the summaries explains how those counts relate, and the matching number 50 appears in Decrypt's Oct. 30 company tally for a different measure.

Decrypt also says the venue's notice lists the objecting issuers, while Cointelegraph describes the notice as a public filing from OKXICE. The difference is one of emphasis rather than substance.

Why offshore success has not translated into US consent

SpaceX's objection stands out because tokens tied to its shares have already done substantial business abroad. Cointelegraph reported that Backpack and Kraken, the latter through its xStocks offering, readied tokens tied to the company's stock before its June public offering, with each token meant to be supported by real shares. By contrast, OKXICE would give US investors access to tokenized stock trading under the SEC framework. That could give the venue access to the biggest equity market worldwide and enlarge the investor base for tokenized securities.

Not everyone welcomes that prospect. Nasdaq warned issuers in September that they "must be cautious about their participation" in the venture. Its stated concern was that such trading might split liquidity and erode value for shareholders over the long run. Cuomo said to Cointelegraph on Oct. 20 that the venture anticipated further objections, since companies were reluctant to be the first to try the model. At an Oct. 30 press conference he said he expected wider company participation as the benefits of tokenization become clearer.

None of the four outlets reports why SpaceX or the other newcomers objected. The reasons remain an open question, and the objections should not be read as a verdict on tokenization in general.

What the objections cannot stop

The venue is a 50-50 joint venture between Intercontinental Exchange and OKX's US holding company. Decrypt reported that the venue plans round-the-clock trading of tokenized US stocks in permissioned Uniswap v4 pools running on OKX's XLayer chain, where the stocks would be matched against stablecoins including USDC. Traders have to clear identity and sanctions screening and carry a soulbound token that cannot be transferred, and the venue's smart contracts check for that token ahead of each trade.

An objection blocks only versions of a company's stock that unaffiliated outside parties have tokenized. According to the notice, the venue can still list shares that issuers tokenize themselves, though it does not identify any. Tokenized stocks it offers are also not restricted to trading on OKXICE alone. Decrypt noted that Apple remains among the few very large companies that do not appear on the objection list.

Open questions for traders and project teams

Several points will shape what happens next. It is unclear when the deadline CoinDesk mentions falls and how many of the 13 symbols without a published objection will stay that way. It is also unclear whether Apple or other absent megacaps will object, and whether any issuer will tokenize its own shares for the venue.

For holders of tokenized stocks on other platforms, the reporting suggests a practical check. Confirm whether a token is designed to be backed by actual shares and what rights it gives compared with ordinary shares. Project teams weighing tokenization of equity should note that, under this exemption, the issuer's written objection within 30 days decides whether a venue can list third-party versions.

FAQ

How many companies have objected to OKXICE tokenized stock trading?

Decrypt and Cointelegraph report that 56 companies have objected, according to the updated notice from Monday, Nov. 2. The count was 50 on Oct. 30, 38 on Oct. 28 and nine on Oct. 15.

What does an objection do under the SEC's innovation exemption?

A company that objects in writing within 30 days stops the venue from making that third-party tokenized stock available. The objection applies only to that venue, so tokens of the same stock can still trade elsewhere.

Can OKXICE still list tokenized shares of companies that objected?

Decrypt reported that the venue can list shares tokenized by the issuers themselves, although the notice does not identify any. It cannot list versions tokenized by unaffiliated third parties for companies that have objected.
